1. Agreement
These Terms of Service ("Terms") govern your use of dcmediaco.com and any services provided by DC Media Co ("I," "me," "my"). By using my site or engaging my services, you agree to these Terms.
2. Services
I provide marketing services including, but not limited to, website design and development, website refreshes, SEO, AI visibility consulting, print and direct mail (including EDDM and postcard campaigns), and related software products. The specific scope, deliverables, timeline, and price for any engagement will be set out in a separate proposal, order form, checkout page, or written agreement, which is incorporated into these Terms.
3. Quotes, Estimates, and Calculators
Pricing shown in calculators, projections, and informational tools on this site is for estimation only and does not constitute a binding offer. Final pricing is confirmed in your written quote, checkout, or signed agreement.
4. Payment
Payment terms are stated in your proposal, invoice, or checkout. Recurring services (such as monthly retainers or subscriptions) continue until cancelled per the terms of that engagement. Late or unpaid amounts may result in suspension of services. All fees are non-refundable except as expressly stated in writing.
5. Client Responsibilities
You agree to provide timely access to accounts, content, brand assets, approvals, and any other materials reasonably required for me to deliver your services. Project timelines depend on your cooperation, and delays caused by missing inputs are not my responsibility.
6. Intellectual Property
Upon full payment, you own the final, client-specific deliverables produced for you (such as your website design, copy written specifically for you, and your printed creative). I retain ownership of pre-existing tools, frameworks, templates, code libraries, and proprietary methods used to produce those deliverables, and I may reuse them on other projects. I may also display non-confidential project work in my portfolio and case studies unless we agree otherwise in writing.
7. Third-Party Services
My services often integrate with third-party platforms (for example Google, Meta, Stripe, LeadConnector / HighLevel, hosting providers, print partners, and AI providers). You're responsible for complying with each provider's terms, and I'm not responsible for outages, changes, or failures of those third parties.
8. AI-Generated Output
Some services produce or rely on output from AI systems. AI output can be inaccurate or incomplete and should be reviewed by you before publication or business use. I don't guarantee the accuracy, originality, or fitness of AI-generated content for any particular purpose.
9. Marketing Results Disclaimer
I work hard to deliver real, measurable results, but I can't and don't guarantee specific outcomes such as rankings, leads, conversions, sales, or revenue. Marketing results depend on many factors outside my control, including market conditions, competition, your offers, and your follow-through.
10. Acceptable Use
You agree not to use my site or services to (a) violate any law, (b) infringe anyone's rights, (c) transmit malicious code, or (d) attempt to disrupt, reverse engineer, or gain unauthorized access to any part of the site or services.
11. Disclaimer of Warranties
The site and services are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
12. Limitation of Liability
To the maximum extent permitted by law, my total liability arising out of or related to these Terms or my services will not exceed the amount you paid me for the specific service giving rise to the claim in the three (3) months before the claim arose. I will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
13. Indemnification
You agree to indemnify and hold harmless DC Media Co and Donald Clark from any claims, losses, or expenses (including reasonable attorneys' fees) arising from content or materials you provide, your use of the services, or your violation of these Terms.
14. Termination
Either party may terminate an engagement as set out in the applicable proposal or agreement. I may suspend or terminate access to the site or services at any time for non-payment, abuse, or violation of these Terms.
15. Governing Law
These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of laws principles. Any disputes will be brought exclusively in the state or federal courts located in Coweta County, Georgia, and you consent to that jurisdiction.
16. Changes
I may update these Terms from time to time. Continued use of the site or services after a change constitutes acceptance of the updated Terms.
